1. Introduction

Welcome to DadsCloud. These Terms and Conditions ("Terms") govern your use of our website, services, and products (collectively, the "Service") operated by DadsCloud ("we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access the Service.

2. Definitions and Interpretation

2.1 Definitions

  • "Agreement" means these Terms and Conditions
  • "Company" refers to DadsCloud
  • "Customer" or "you" refers to the individual or entity using our Service
  • "Service" includes all products, services, and features provided by the Company
  • "Website" refers to dadscloud.com and all associated subdomains
  • "Enterprise Services" refers to monthly-billed production infrastructure
  • "Learning Services" refers to hourly-billed educational and development environments
  • "DadsPoints" refers to our credit system where 1 Rupee = 1 DadsPoint

2.2 Interpretation

  • Words in the singular include the plural and vice versa
  • References to any gender include all genders
  • Headings are for convenience only and do not affect interpretation

3. Eligibility and Registration

3.1 Age Requirements

  • You must be at least 18 years old to enter into this Agreement
  • If you are between 13-17, you must have parental consent
  • Users under 13 are not permitted to use our Service

3.2 Registration Process

  • You must provide accurate, current, and complete information during registration
  • You must maintain and promptly update your registration information
  • You are responsible for safeguarding your account credentials
  • You must immediately notify us of any unauthorized use of your account

3.3 Account Verification

We reserve the right to verify your identity and may require additional documentation before providing access to certain features.

4. Service Provision

4.1 Service Description

DadsCloud provides hybrid cloud infrastructure services including:

  • Virtual server hosting on 3-node Proxmox cluster
  • Storage solutions with TrueNAS backup systems
  • Network infrastructure with Cloudflare tunnels
  • Edge computing services via Raspberry Pi nodes
  • Development and learning environments
  • Enterprise production hosting solutions

4.2 Service Availability

  • We aim to provide continuous service availability
  • Service may be temporarily unavailable due to maintenance, updates, or technical issues
  • We do not guarantee uninterrupted or error-free service
  • Enterprise services include 99.9% uptime SLA

4.3 Service Modifications

  • We reserve the right to modify, suspend, or discontinue any part of the Service
  • We will provide reasonable advance notice of material changes
  • Continued use after changes constitutes acceptance of the modified terms

5. User Obligations and Conduct

5.1 General Obligations

You agree to:

  • Use the Service in compliance with all applicable laws and regulations
  • Provide accurate and truthful information
  • Maintain the security and confidentiality of your account
  • Respect the rights and privacy of other users
  • Report any violations of these Terms to us promptly

5.2 Prohibited Conduct

You may not:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction
  • Transmit any harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Use automated systems to access the Service without permission
  • Impersonate any person or entity
  • Collect user information without consent
  • Engage in cryptocurrency mining without explicit permission
  • Host or distribute malicious software or content

6. Payment Terms and Billing

6.1 Fees and Charges

  • All fees are clearly displayed before purchase
  • Prices are subject to change with advance notice
  • You are responsible for all charges incurred under your account
  • All payments must be made in Indian Rupees (INR)

6.2 Payment Methods

  • We accept payment via UPI, bank transfer, debit/credit cards, and other approved methods
  • You must provide valid and current payment information
  • You authorize us to charge your payment method for all applicable fees

6.3 Billing Cycle

  • Enterprise services are billed monthly in advance
  • Learning services are billed hourly using DadsPoints
  • Billing occurs on the same date each billing period for monthly services
  • Pro-rated charges may apply for mid-cycle changes

6.4 DadsPoints System

  • DadsPoints can be purchased at a 1:1 ratio with Indian Rupees
  • DadsPoints are used for hourly billing of learning services
  • Students may receive bonus DadsPoints through educational programs
  • DadsPoints do not expire but are non-refundable except as required by law

6.5 Late Payment and Non-Payment

  • Late fees may apply to overdue accounts
  • We may suspend or terminate service for non-payment
  • You remain responsible for all fees incurred before suspension or termination

6.6 Refunds and Cancellations

  • Refund policies are detailed in our separate Refund Policy
  • Cancellations must be submitted through your account dashboard or by contacting support
  • Refunds, if applicable, will be processed within 7-10 business days

7. Intellectual Property Rights

7.1 Our Intellectual Property

  • All Service content, including text, graphics, logos, images, software, and other materials, is owned by DadsCloud
  • Our trademarks, service marks, and logos are protected intellectual property
  • You may not use our intellectual property without express written permission

7.2 User-Generated Content

  • You retain ownership of content you create and submit
  • By submitting content, you grant us a license to use, modify, and distribute it in connection with providing the Service
  • You represent that you have all necessary rights to your submitted content
  • We may remove content that violates these Terms or applicable laws

7.3 License to Use Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or business purposes.

8. Data Protection and Security

8.1 Data Processing

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use our Service. By using our Service, you agree to the collection and use of information in accordance with our Privacy Policy.

8.2 Data Security

  • We implement appropriate technical and organizational measures to protect your data
  • All data is stored on secure infrastructure within India
  • We use encryption for data transmission and storage
  • Regular backups are performed to prevent data loss

8.3 Data Sovereignty

All customer data is stored on infrastructure located within India, ensuring compliance with local data protection regulations and providing data sovereignty benefits.

9. Service Levels and Availability

9.1 Service Level Agreement

  • Enterprise services include a 99.9% uptime SLA
  • Learning services are provided on a best-effort basis
  • Scheduled maintenance will be announced in advance when possible
  • We provide 24/7 monitoring and support for Enterprise services

9.2 Maintenance and Updates

  • We may perform scheduled maintenance that temporarily interrupts service
  • Emergency maintenance may be performed without advance notice
  • We will make reasonable efforts to minimize service disruption

10. Liability and Warranties

10.1 Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Limitation of Liability

IN NO EVENT SHALL DADSCLOUD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

10.3 Indemnification

You agree to defend, indemnify, and hold harmless DadsCloud from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from your use of the Service or violation of these Terms.

11. Termination

11.1 Termination by You

  • You may terminate your account at any time through your dashboard or by contacting support
  • Upon termination, you remain responsible for all outstanding fees
  • We will provide reasonable assistance with data export upon request

11.2 Termination by Us

  • We may terminate or suspend your account immediately for violation of these Terms
  • We may terminate your account with 30 days' notice for business reasons
  • Upon termination, we will provide reasonable access to export your data

12. Governing Law

12.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

12.2 Dispute Resolution

  • Any disputes arising from these Terms will first be addressed through good faith negotiations
  • If negotiations fail, disputes will be resolved through binding arbitration in accordance with Indian law

13. Changes to Terms

We reserve the right to update these Terms at any time. We will notify users of any material changes by:
